When you engage Task Forge LLC for services, the specific scope of work, deliverables, timelines, and fees will be outlined in a separate Statement of Work (SOW) or Service Agreement. We reserve the right to refuse service to anyone for any reason at any time. We may modify or discontinue any service at any time without notice.
The Service and its original content, features, and functionality are and will remain the exclusive property of Task Forge LLC and its licensors. Our Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Task Forge LLC.
Upon full payment of all fees, deliverables created specifically for your engagement (as defined in the applicable SOW) will be assigned to you. Task Forge LLC retains all rights to pre-existing tools, frameworks, templates, and methodologies used in delivering the services.
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. Task Forge LLC will not disclose your business information, strategies, or data to third parties without your explicit consent, except as required by law. You agree not to disclose our proprietary methodologies, tools, or processes to third parties.
Payment terms will be specified in the applicable SOW or invoice. In general:
We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Either party may terminate an ongoing engagement with 30 days written notice. Upon termination, your right to use the Service will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Task Forge LLC does not warrant that the Service will be uninterrupted, timely, secure, or error-free.
While we strive to deliver high-quality results, we do not guarantee specific business outcomes, revenue increases, or operational improvements. Results depend on many factors outside our control, including your team's implementation and cooperation.

Our total liability to you for any claim arising out of or relating to these Terms or our Service shall not exceed the fees paid by you to Task Forge LLC in the three (3) months preceding the claim.
You agree to defend, indemnify, and hold harmless Task Forge LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (a) your use and access of the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your content caused damage to a third party.
These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place remotely. Each party shall bear its own costs of arbitration.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
